Our capital markets department has comprehensive experience in capital market and stock companies law. Head of department Gernot Wilfling can prove a long track record in capital market transactions such as IPOs, Re-IPOs and bond issuances.
We focus on growth financing in all stages. We accompany young growth enterprises in all financing issues beginning with first talks with investors right up to the IPO and subsequent capital markets financings. Our partnership is not limited to mere legal advice but comprises support in the discussions with various stakeholders and access to our network.
Scope of services
We accompany your IPO, Re-IPO or bond issuance from initial considerations till closing.
Before the start of the project itself we support in measures to maintain the influence of existing shareholders, e.g. through drafting of suitable articles of association as well as participation and syndicate agreements.
In the course of the project, we support, among others, in structuring the transaction, legal due diligence, prospectus drafting and approval, listing procedure and coordination with funding partners (banks, financial advisers etc).
Part of our comprehensive IPO advice is also the timely preparation for the application of post listing obligations and measures to prevent market abuse. In the course of our activity as Capital Market Coach respective legal advice can be used on the basis of a flat-rate fee in the first years after the IPO. This shall serve as temporary solution until the necessary internal know-how has been built up.
