Scope of services
We advise the issuer, the underwriting banks or the selling shareholder in connection with legally structuring the transaction, preparing and carrying out legal due diligence, drawing up the prospectus, conducting negotiations on the underwriting agreement and in relation to the other contract documentation, issuing new shares and other aspects that are relevant under company law, stock market listing, preparing publicity and research guidelines and reviewing all relevant marketing documents, as well as issuing legal and disclosure opinions. Furthermore, we advise issuers on their additional obligations arising from admission to trading on the stock market and on compliance with standard and ad hoc transparency obligations.
